MGX NZ — Terms of Trade (B2B Commercial Accounts)


Effective Date: 1 August 2026

Entity: Merchant Goods Xpress (operating as MGX NZ)

Applicability: All commercial trade accounts, online business portal transactions, and wholesale orders.

1. Application and Interpretation

1.1. These Terms of Trade ("Terms") apply to all supplies of goods and commercial products ("Goods") by ShinePro Ltd. T/A Merchant Goods Xpress ("MGX NZ") to any commercial purchaser, business entity, or trade account holder ("Customer").

1.2. By applying for an MGX Trade Account, issuing a Purchase Order, or purchasing Goods via the MGX Trade Portal (trade.mgx.nz), the Customer agrees to be bound by these Terms to the exclusion of any terms submitted by the Customer.

1.3. "GST" means Goods and Services Tax payable under the Goods and Services Tax Act 1985 (New Zealand).

2. Account Registration & Business Verification

2.1. Trade accounts are restricted to verified businesses, corporate entities, sole traders, and non-profit organizations operating in New Zealand.

2.2. The Customer must provide a valid New Zealand Business Number (NZBN), GST registration details, and verifiable commercial delivery addresses upon application.

2.3. MGX NZ reserves the right to approve, downgrade, suspend, or terminate any trade account or credit facility at its sole discretion without prior notice.

3. Pricing & GST

3.1. All wholesale and trade prices displayed on the MGX Trade Portal or quote documents are exclusive of GST unless explicitly stated otherwise.

3.2. Prices are subject to change without prior notice. The price payable for Goods shall be the price active on the portal at the time the order is confirmed by MGX NZ.

3.3. Volume discount tiers apply strictly based on qualifying quantities added per line item or order total.

4. Orders, Orders Pad & Minimums

4.1. Orders placed via the MGX Trade Portal, Quick Order Pad, or CSV Upload constitute a binding offer to purchase. MGX NZ reserves the right to accept or decline any order in whole or in part.

4.2. Minimum Order Value: Free local delivery applies to Auckland commercial addresses on orders exceeding $150.00 NZD (Excl. GST). Orders below this threshold will incur a standard freight and handling surcharge.

4.3. Non-Auckland or bulk freight requests (including palletized shipments) will be quoted separately prior to order dispatch.

5. Payment Terms & Credit Accounts

5.1. Standard Payment: For non-credit trade accounts, payment must be made in full at the time of order placement via credit card, direct bank transfer (POLi / Online Banking), or approved electronic gateway.

5.2. On-Account Terms (Net 20th): For approved Credit Account holders, payment in full is due on or before the 20th day of the month following the date of invoice.

5.3. Default & Late Payment Surcharges:

  • Interest on overdue accounts will accrue on a daily basis from the due date until the date of payment at a rate of 2.5% per month (compounding).
  • The Customer agrees to indemnify MGX NZ for all collection costs, court fees, and legal fees (on a solicitor-and-own-client basis) incurred in recovering overdue balances.

6. Delivery & Risk

6.1. Delivery times are target estimates only. MGX NZ is not liable for indirect, consequential, or economic loss resulting from delivery delays caused by courier networks, freight carriers, or events beyond reasonable control.

6.2. Risk: Risk of loss or damage to Goods passes to the Customer upon delivery to the specified delivery address or upon collection by the Customer's designated freight provider.

6.3. The Customer must ensure clear, safe access for delivery vehicles (including advising if forklift access or loading docks are required for heavy/palletized orders).

7. Title & Personal Property Securities Act 1999 (PPSA)

7.1. Title and ownership in all Goods supplied remain with MGX NZ until all outstanding monies owed by the Customer to MGX NZ (under any account) have been paid in full.

7.2. The Customer grants MGX NZ a Purchase Money Security Interest (PMSI) under the Personal Property Securities Act 1999 (PPSA) in all Goods supplied.

7.3. The Customer waives its right to receive a copy of any verification statement under section 148 of the PPSA.

8. Inspection, Claims & Returns

8.1. Inspection: The Customer must inspect all Goods upon delivery.

8.2. Claims Window: Any claim regarding missing items, incorrect shipments, or visible damage must be submitted in writing to MGX NZ within 5 working days of delivery.

8.3. Return Conditions:

  • Returns for change-of-mind or customer ordering errors must be pre-authorized by MGX NZ in writing.
  • Returned Goods must be unused, un-opened, in original commercial packaging, and fit for immediate resale.
  • Authorized returns are subject to a 15% restocking fee, and the Customer remains responsible for return freight costs.

9. Warranties & Business Exclusions

9.1. Consumer Guarantees Act 1993 Exclusion: The Customer acknowledges that all Goods purchased from MGX NZ are acquired for business, trade, or commercial purposes. Pursuant to section 43 of the Consumer Guarantees Act 1993 (CGA), the provisions of the CGA do not apply to any supply made under these Terms.

9.2. Contractual Remedies Act / Contract and Commercial Law Act 2017: To the extent permitted by New Zealand law, all implied warranties, conditions, or guarantees are excluded.

9.3. Limitation of Liability: The total maximum aggregate liability of MGX NZ for any claim, loss, defect, or breach under these Terms shall not exceed the original invoice value of the specific Goods giving rise to the claim.

10. Health & Safety / Chemical Products

10.1. For hazardous chemicals, cleaning agents, and safety wear, the Customer is solely responsible for ensuring proper handling, workplace safety storage, staff training, and adherence to Safety Data Sheets (SDS) provided by MGX NZ.

11. Privacy Act 2020

11.1. The Customer authorizes MGX NZ to collect, retain, and use personal and business information regarding creditworthiness, trading history, and business verification from credit reporting agencies or trade referees.

12. Governing Law

12.1. These Terms are governed by and construed in accordance with the laws of New Zealand. The parties submit to the exclusive jurisdiction of the New Zealand courts in Auckland.
